Terms of Service

1. Parties and Acceptance
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”) and Eclat Engineering Pvt. Ltd., a company incorporated in India (“Eclat”, “we”, “us”, or “our”), governing your access to and use of the Aroha platform and all associated services, APIs, mobile applications, and content (collectively, the “Platform”).
By clicking “I Accept”, logging in, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Platform. These Terms are re-presented every six months; continued use requires re-acceptance.
2. Nature of the Service
Aroha is a clinical intelligence and knowledge management platform designed to assist licensed healthcare professionals with access to medical literature, clinical guidelines, evidence summaries, and AI-assisted tools including but not limited to:
- AI-assisted question answering over indexed medical literature
- Spaced-repetition flashcard generation from clinical topics
- AI-assisted clinical transcription (Clinical Scribe)
- Drug interaction reference lookups
- ICD-10 code search and reference
- Clinical guidelines access and summarisation
- Accredited CME course delivery with automated credit and CPD portfolio tracking
- Community discussion and peer knowledge-sharing features
- Case thread creation and clinical case documentation
3. No Medical Advice — Critical Disclaimer
AI-generated content, including outputs from large language models integrated within the Platform, may be incomplete, inaccurate, outdated, or inappropriate for specific clinical scenarios. You must independently verify all AI-generated outputs against authoritative clinical sources and apply your professional judgement before any clinical application.
Eclat Engineering Pvt. Ltd. expressly disclaims any liability arising from clinical decisions made in reliance on Platform outputs without independent verification by a qualified clinician.
4. Eligibility and Authorised Use
The Platform is intended solely for use by:
- Licensed medical doctors, surgeons, specialists, and physicians
- Registered nurses, pharmacists, and allied health professionals
- Medical students under appropriate supervision
- Administrators acting on behalf of a licensed healthcare institution
Access is granted through institutional or customer accounts. Individual user accounts are non-transferable. You must not share your login credentials. You must be at least 18 years of age. You represent that all information you provide during registration is accurate and current.
5. Acceptable Use Policy
You agree not to:
- Use the Platform to make definitive clinical decisions without independent professional verification
- Present AI-generated content directly to patients as authoritative medical advice
- Attempt to reverse engineer, scrape, or systematically extract data from the Platform
- Use the Platform for any unlawful purpose or in violation of applicable regulations
- Upload patient-identifiable data (PHI/PII) into the Platform beyond what is strictly necessary and authorised by your institution's data governance policies
- Share, resell, or sublicense access to the Platform without written consent from Eclat
- Introduce malware, conduct denial-of-service attacks, or exploit security vulnerabilities
- Use AI outputs to generate, endorse, or distribute misinformation about drugs, therapies, or diseases
- Use the Clinical Scribe feature to record any consultation without first obtaining explicit, informed consent from the patient or their authorised representative in accordance with applicable law and your institution's consent policies. By using Clinical Scribe, you represent that such consent has been obtained
6. AI-Generated Content — Specific Limitations
You specifically acknowledge that AI-generated outputs from the Platform:
- Clinical Scribe: Transcriptions and SOAP notes may contain transcription errors, missed words, misidentified speakers, or clinical inaccuracies. All AI-generated clinical documentation must be reviewed and authenticated by the treating clinician before inclusion in any medical record.
- Flashcards: AI-generated flashcard content is for educational purposes and may reflect generalised medical knowledge rather than the most current evidence or local institutional protocols.
- Drug Interactions: Drug interaction data is for reference only. Clinical significance varies by patient-specific factors. Consult a clinical pharmacist and your institution's formulary before prescribing decisions.
- ICD Codes: Code suggestions are for reference and workflow support only. Final coding must be verified by a qualified clinical coder against your institution's billing and records guidelines.
- AI Assistant: Responses are generated from indexed literature and may not reflect the most recent clinical guidelines, local protocols, or patient-specific contraindications.
- CME & Flashcard Content: Course and flashcard content is for continuing education purposes. CME credits are tracked on a best-efforts basis; your institution or professional body is the authoritative record for accreditation compliance.
7. Intellectual Property
All software, algorithms, models, interface designs, branding, and documentation comprising the Platform are the exclusive intellectual property of Eclat Engineering Pvt. Ltd. or its licensors. Nothing in these Terms grants you any right, title, or interest in or to the Platform beyond the limited licence to use the Platform as described herein.
Medical content indexed by the Platform (guidelines, literature, ICD codes, drug data) originates from third-party authoritative publishers. All respective intellectual property rights remain with those publishers. The Platform provides access and summaries solely for lawful clinical reference purposes.
Content you create, upload, or annotate within the Platform (notes, custom flashcards, comments) remains your property. You grant Eclat a limited, non-exclusive licence to store, process, and display such content solely for the purpose of providing the Platform services to you.
8. Data, Privacy and Security
Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. Key obligations:
- You are responsible for ensuring that any patient data entered into the Platform complies with applicable healthcare privacy laws (including but not limited to the Digital Personal Data Protection Act 2023 in India, HIPAA where applicable, and GDPR where applicable).
- Do not enter identifiable patient information into any free-text field beyond the minimum necessary for the intended clinical workflow.
- Institutional administrators are responsible for configuring data governance settings appropriate for their jurisdiction and institution policies.
9. Service Availability and Changes
Eclat does not guarantee uninterrupted or error-free access to the Platform. We reserve the right to modify, suspend, or discontinue any feature or the entire Platform at any time, including in response to changes in third-party services (AI model providers, data publishers) or regulatory requirements. We will provide reasonable notice of material changes where practicable.
AI model capabilities, drug databases, ICD code sets, and guideline content are periodically updated. Outputs may vary between sessions as underlying models or data sources are updated.
Account suspension and termination: Eclat reserves the right to suspend or terminate your access to the Platform immediately, with or without notice, if you breach these Terms, engage in conduct that poses a risk to other users or the Platform's integrity, or if required by applicable law or a court order. Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including §3, §7, §10, §11) shall remain in full force and effect.
Force Majeure: Eclat shall not be liable for any failure or delay in performance of its obligations caused by circumstances beyond Eclat's reasonable control, including but not limited to: unavailability or changes in terms of third-party AI model providers (including OpenAI, Anthropic, or Google); internet or cloud infrastructure outages; acts of government or regulatory authority; natural disasters; or changes in applicable law that render continued service provision impractical. Eclat will use commercially reasonable efforts to restore service as soon as practicable.
10. Limitation of Liability
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF CONTENT, OR UNINTERRUPTED ACCESS. ECLAT DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE, OR THAT THE PLATFORM WILL MEET YOUR SPECIFIC CLINICAL OR INSTITUTIONAL REQUIREMENTS.
To the fullest extent permitted by applicable law:
- Eclat Engineering Pvt. Ltd., its directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from your use of or inability to use the Platform.
- Eclat shall not be liable for any patient harm, clinical outcome, or adverse event arising from clinical decisions made in reliance on Platform outputs.
- Eclat shall not be liable for the accuracy, completeness, or timeliness of any third-party data or content accessible through the Platform, including drug interaction databases, ICD code sets, and clinical guidelines.
- In no event shall Eclat's total aggregate liability exceed the fees paid by you (or your institution) for the Platform in the three months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Eclat Engineering Pvt. Ltd. and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use or misuse of the Platform in violation of these Terms
- Your clinical decisions made without independent verification of Platform outputs
- Your breach of any applicable law, regulation, or patient data protection obligation
- Content you upload to the Platform that infringes third-party rights
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India. Both parties agree to attempt good-faith resolution of disputes before initiating formal legal proceedings.
13. Changes to These Terms
Eclat reserves the right to modify these Terms at any time. Material changes will be communicated via in-platform notification. Continued use of the Platform following the effective date of revised Terms constitutes your acceptance. You will be prompted to re-accept the updated Terms. The consent re-acceptance cycle is a maximum of six months regardless of whether the Terms have changed.
